NON-DISCLOSURE AGREEMENT (NDA)

GENERAL INFORMATION

CONFIDENTIAL INFORMATION

“Confidential Information” refers to any non-public business, operational, technical, financial, or client-related information disclosed by either party, whether orally, visually, in writing, or electronically, that is marked as confidential or should reasonably be understood to be confidential.

USE AND PROTECTION

Each party agrees to use Confidential Information solely for the purpose of evaluating or providing services and to safeguard such information with at least the same level of care used to protect its own confidential information. Access shall be limited to individuals who require the information for authorized purposes and who are bound by confidentiality obligations.

EXCLUSIONS

Confidential Information does not include information that:

• Is or becomes publicly available without breach of this NDA
• Was lawfully known by the receiving party prior to disclosure
• Is independently developed without reference to the disclosed information
• Is lawfully obtained from a third party without confidentiality restrictions

TERM AND RETURN

Unless otherwise agreed in writing, confidentiality obligations remain in effect throughout the relationship and for a reasonable period thereafter. Upon request, all Confidential Information shall be returned or destroyed, except where retention is required by law or regulation.
